The following terms and conditions (T&C, Terms or Contract) apply to participation in the Affiliate Program offered by Smartex Outlet (us, us, ours) and to any affiliated person. The Affiliate Program (the Program) allows (the Affiliate, you, you) to promote the services of Smartex Outlet and to receive commissions as set forth in these T&C.

Participation in the Program includes the presentation of a registration form for affiliates available on the Smartex Outlet website (the site). We review all affiliate applications before deciding if a request can be accepted. The application could be rejected if it is not considered suitable for the program for any reason.

As a Smartex Outlet affiliate, you accept:

  • The responsibility to provide all the complete and accurate information required for account activation and to keep this information constantly updated. The above information includes but is not limited to contact details, to the URLs on which the promotion of Smartex Outlet will be made, to the practices and promotional tools that you intend to use, to data relating to payment, tax information and any other requirement required . We reserve the right to request additional data regarding the websites on which we intend to promote Smartex Outlet and the promotional practices that will be used. Failure to provide accurate information could result in exclusion from the Program,
  • To act in good faith by presenting clients in good standing, consisting of owners of hosting accounts that have provided truthful contact information and will not have been reported as high risk of fraud, that they have active accounts not exceeding quota and limitations provided by the Terms of Service of Smartex Outlet and that actively use their account. The use of an active account is determined in our sole discretion and may be based on one of the following data and on the frequency of access to the User area and the account control panel, the frequency of uploading new content, the number and the frequency of visits to the site, any other obvious demonstration of active use of the account by the user, etc.
  • We urge you not to act or recommend referrals in case of risk of loss to Smartex Outlet.
  • We recommend that you do not participate in programs with incentives or other commercial opportunities that use practices that are considered ethically incorrect or capable of attracting non-compliant customers.
  • We invite you not to use on behalf of your referrals or to recommend them to use on Smartex Outlet accounts of third-party material protected or not by copyright without the foreseen license.
  • You will not have to copy, alter or modify icons, buttons, banners, graphics, files and contents present on the links of Smartex Outlet, including but not limited to the removal or alteration of information relating to the trademark and copyright, in the absence of prior written approval from us .
  • You will not have to undertake any Blackhat link / SEO creation technique in order to generate new referrals for Smartex Outlet.
  • You agree not to violate any applicable law.
  • You will have to be loyal to Smartex Outlet without betraying its trust or damaging its reputation.
  • You will need to announce the affiliation with Smartex Outlet on your website.

If we were to identify in your files as an affiliate any element attributable to a violation of any of the terms of the T&C, we reserve the right to suspend or terminate your affiliate account by canceling all pending commissions still due.

For the promotion of our services, only promotional material approved by Smartex Outlet must be used. It includes any material provided by us and present in the Affiliated Area or approved in writing by a Smartex Outlet representative. The approved material must contain the commercial names of Smartex Outlet, service marks and/or logos to be displayed on the affiliate site as well as slogans. Below we grant you a limited, non-exclusive and non-transferable license to access and download the promotional material to be used on your site for the sole purpose of promoting the sites owned, operated and controlled by Smartex Outlet. By using this promotional material, you agree to work with us to establish and maintain approved promotional materials.

At the end of the contract, with the termination of the affiliate account, the limited and non-exclusive license to access and download the Smartex Outlet promotional material will be automatically revoked.

Inappropriate forms of advertising include but are not limited to:

  • The use of any illegal method or advertising spam, such as unsolicited emails, unauthorized publication of links in forums, newsgroups, announcement boards, etc .;
  • The use of keywords or phrases containing the ” Smartex Outlet ” brand, of variations or misspellings of the terms recorded on the Pay per Click or Pay per Impression campaigns in search engines (Google, Yahoo, MSN, Ask, Bing or others) without our prior approval. It is not allowed to use one or more Smartex Outlet sites to display the URL in PPC ads, as a direct link or as a redirect to one or more sites belonging to Smartex Outlet;
  • the use of non-original content that infringes the copyright for the promotion of Smartex Outlet;
  • The use of traffic generated by pay per read, pay to click, banner exchange, click exchange, PPV advertising, pop-up / under, and other methods of the same nature;
  • The offer of cashback, rewards or any other kind of incentives to make the sale without our prior consent;
  • The offer of discounted prices, including coupons, vouchers, discount codes or other value-added offers without our prior consent;
  • The use of our promotional and advertising material, of the brand or name to the detriment of our image;
  • The use of iframes, of another technique or technology that positions the tracking cookies of the affiliate using other means than the click;
  • The use of techniques and technologies that provide coverage or cloacking links with the purpose of promoting Smartex Outlet on websites and networks not explicitly listed in your affiliate profile and which hide the source of traffic;
  • Your websites must NOT contain lascivious, obscene, illegal or pornographic material, nor any other type of material of a questionable nature, such as bigotry, hatred, pornography, Satanism, copyrighted material containing trademarks, adult content, etc. The nature of similar materials will be subject to our unquestionable judgment;
  • Name of the domain (s), of the company, logo, brand, product (s), project (s), service (s) must NOT include keywords or phrases containing the “Smartex Outlet” trademark, or variations or spelling errors referring to Smartex Outlet in any way, in relation to the trademark, name, logo or the name of its domain, without prior consent from us;
  • Name of the domain (s), company, logo, brand, product (s), project (s), service (s) must NOT include keywords or phrases containing or referring to trademarks, names, logos, or third-party domains unless authorized by their owners.

Smartex Outlet will have the exclusive right to establish whether a promotional method is to be considered suitable. The use of any advertising tool deemed inappropriate will result in a recall, a suspension or interruption of the affiliate’s account, with the cancellation of all pending commissions still to be paid.

We automatically track the sales of our affiliates through the use of cookies. Cookies are stored on the user’s browser which clicks on the affiliate link to reach our site. Each cookie is saved for 30 days. If an affiliate cookie is already present in the browser of the same user, it will be overwritten by the new one. Smartex Outlet is not responsible for cookies intentionally deleted by users.

We will pay a commission for actual sales that you will report to Smartex Outlet. The sale will be considered effective if it meets the following requirements:

  • The sale is the result of the referral actions undertaken and for it, we verify that:
    • At the time of the order, the customer had an active cookie which indicated you as the last affiliate from which it was addressed on our website, provided that he did not reach it using a search engine and a search string without the name Smartex Outlet ;
    • You declare that you have presented a client within 30 days from the date of your order, without its denial, in the absence of information that attributes the sale to another advertising channel.
  • Your affiliate account must be active at the time of sale. No commission will be awarded for the period prior to your enrollment in the Affiliate Program.
  • The customer has completed his orders without your assistance or acting on his behalf.
  • The sale covers any product present, active and available in the Smartex Outlet catalog. The sale of other services or additional features of the account is not to be considered valid for a commission.
  • Sales of products canceled by the customer or suspended by Smartex Outlet for any reason will not be counted as affiliate commissions.

We reserve the right to consider any sale as invalid at our discretion, without providing any explanation or justification.

Smartex Outlet will pay any affiliate commission due according to the methods and currency indicated on the affiliation program registration page unless another written custom agreement, Any commission earned and related to sales considered valid will be paid after a period of 30 days. We reserve the right to extend the minimum period indicated in the T&C without prior notice for the time we deem necessary to verify the validity of the sale.

We process payment commissions once a month (on day 7) for affiliates who have reached a minimum threshold of $50 of commission. Commissions will be paid through PayPal and you will be responsible for any costs applied.

It is possible to convert, even partially, the amount reached through the sponsorship into one or more Vouchers that can be spent on the drfaybeauty.com site, a procedure that can be performed by the affiliate’s personal panel.

It is solely up to you to keep your information up to date, including postal address and email address, name, payment details, tax information and any other personal information that may affect the outcome of the commission payment, which we will suspend in the absence of missing data. Suspended commissions may be requested within 6 months of the originally scheduled date.

We may suspend the payment of commissions at any time and for as long as we deem appropriate, in the event of suspected fraud, improper activity or potential breach of this Agreement by you or one of the customers you have submitted.

We reserve the right to deduct from your present and future commissions one or more commissions already paid for sales considered fraudulent, questionable or canceled. If there is no commission at the time or in the future, we will send an invoice for the balance due to the closure of the program or the account of the customer presented.

Commission summary scheme, updated to August 2020

  • All Products: 20%
  • 1 loyalty point for each $10 spent on purchases through your affiliate link.

You will find a report of the commissions due in your Affiliate Area.
If the affiliate is in possession of a VAT number, he must produce an invoice for the amount indicated in his personal panel, adding the value-added tax (VAT).

Both Smartex Outlet and the franchisee accept the stipulation of this Agreement as independent parties, and nothing within it can be considered as a form of partnership, franchise, sales representatives or relationship between employee and employee between them. The Affiliate has no authority to accept or present any offer on behalf of Smartex Outlet or to take its place. The Affiliate cannot make any declaration, neither on its own site nor elsewhere, that contradicts any aspect of this section.

You can cancel or close your affiliate account at any time by contacting us from your Affiliate Area. We will send you a written confirmation when the account is interrupted.

Smartex Outlet may terminate an affiliate account:

  • With a seven-day notice with no other explanation.
  • Immediately without notice, in case of violation of these Affiliate Program Terms and Conditions by you or your affiliate account.
  • Immediately without notice, if no sales have been generated for a period exceeding 6 months.

Once you suspend the affiliate’s account, we will no longer keep track of the sales associated with it and you will no longer be entitled to other affiliate commissions in the future. All fees due at the time of account suspension will be paid to the affiliate after a waiting period, according to the regular payment cycle. No commission due in case of interruption of the account due to violation of this T&C and an administrative cost of 20.00 Euro, or equivalent in the currency used as indicated in the Affiliate Area will be charged to the Affiliate.

Upon termination of the Affiliate Account, the Affiliate must remove all the promotional material, trademarks, links, logos and slogans of Smartex Outlet from its website within 3 working days. This provision will remain valid until the end of the Contract. At the end of this Agreement, the affiliate will no longer have the right to use the trademarks of Smartex Outlet, and must refrain from any action that could affect, directly or indirectly, the image and its reputation or business relationships with current customers and potential.

Upon termination of the affiliate account, this Agreement will be automatically terminated.

THE AFFILIATE ACCEPTS THAT, IN THE FULLEST EXTENT PERMITTED BY THE LAW, IN NO EVENT SHOULD THEY INCLUDE OUR LICENSORS, AGENTS, EMPLOYEES, OFFICIALS, AND / OR VENDORS THIRD PARTIES RESPONSIBLE FOR ANY INDIRECT DAMAGE, INCLUDING NOT INCLUDED IN NEGLIGENCE ACCIDENTAL, EXCEPTIONAL, CONSEQUENTIAL OR PUNITIVE OF ANY NATURE, THAT INCLUDES BUT IT DOES NOT LIMIT TO LOSS OF PROFITS, SAVINGS ON COSTS, REVENUES, BUSINESS, DATA OR USE, OR OTHER PECUNIARY LOSSES CHARGED TO THE AFFILIATE OR THIRD PARTY. THE AFFILIATE ACCEPTS THAT THE FOREGOING LIMITATIONS SHALL APPLY TO ANY ACTION FOR REASON OR TORTO, AND TO ANY OTHER LEGAL THEORY AND EVEN IF WE HAVE BEEN WARNED BEFORE THE POSSIBILITY OF VERIFYING SUCH DAMAGES. IN NO EVENT SHALL WE FIND US RESPONSIBLE FOR THE AGGREGATE IN RESPECT OF THE VIOLATIONS, DEFAULT, CLAIMS OF LIABILITY WITH THIS AGREEMENT OR OTHER DOCUMENT FOR A FIGURE HIGHER THAN THE COSTS ALREADY PAYED FROM YOU TO US DURING THE PERIOD OF A MONTH PRECEDENT THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. THE AFFILIATE ACKNOWLEDGES THAT IN THESE JURISDICTIONS OUR LIABILITY WILL BE LIMITED TO THAT PROVIDED BY LAW.

This provision will remain valid even at the end of the Contract.

Any dispute or application concerning the following Agreement shall be resolved in accordance with the jurisdiction in which the Smartex Outlet entity that offered the Affiliate’s account service operates.

We may modify this Agreement and any regulations or provisions associated with it as a reference at any time. Changes and / or additions to this Agreement will be effective immediately upon their publication on the Smartex Outlet website. This document concerning T&C is always available on the Smartex Outlet website. If the changes are not accepted, the Affiliate will have 10 working days to close the account from the date of the change. Only a Smartex Outlet official may modify this T&C. No agent, collaborator or employee at Smartex Outlet will have the authority to alter the content in any way. Any clarifications or information provided orally will NOT have the power to modify this T&C.These program rules are not applicable on our other websites like Travelandoo Tourist Attractions & Activities & Destinations, Healthy Life Routine, and our web development company
